A long-standing area of practice for our Firm, we advise and assist landlords and tenants across all aspects of lease agreements. Our teams are involved at every stage of the contractual relationship, from negotiating and drafting contracts through to assignment or termination of the lease. We handle the full range of disputes arising from tenancy matters on a daily basis.

We cover all aspects of collective property ownership, with a particular focus on co-ownership law. We advise property managers and co-owners on their rights and obligations under co-ownership regulations, and represent clients in disputes relating to the management of shared property — including recovery of service charges, challenges to general meetings, and issues concerning common areas or works within the co-ownership.

We advise project owners on all legal aspects of construction projects and manage disputes throughout the process, from pre-emptive interim proceedings to the lifting of reservations after completion. We provide our clients with ongoing support in negotiating, analysing and drafting delegated project management contracts, works contracts and architect agreements. We handle disputes arising from site incidents, contract terminations, enforcement of statutory construction warranties, challenges to additional works, penalties and construction delays.

We advise on all matters relating to the sale and purchase of real estate, whether concerning the enforcement of preliminary agreements and sale agreements, the validity of deeds of sale, or the liability of the various parties involved in a property transaction.

We have developed recognised expertise in advising associations and, more broadly, non-profit organisations. We assist clients in establishing and structuring associations, endowment funds and public-interest foundations, and advise them throughout their operations. Our Firm handles the drafting of articles of association and internal regulations, day-to-day legal support (partnerships, volunteer management, patronage, real estate), relations with supervisory authorities, and all matters relating to the financing of their activities.

We also act in defence of religious freedom and the interests of non-profit organisations. We have extensive day-to-day practice in the law governing associations under the 1901 Act, and a thorough knowledge of issues relating to religious associations, congregations, and the challenges faced by private and faith-based schools.

Our ability to understand the economic, financial, human and environmental challenges facing businesses allows us to intervene at every stage of their development and transfer. We advise clients — companies, investors and executives — across all phases of business disposals and fundraising, from strategic analysis, risk assessment and acquisition due diligence through to the completion of transactions. We also coordinate the involvement of the various advisors required to carry out these operations.

We conduct comprehensive due diligence on targets, assist clients in selecting the appropriate legal structures, and advise on the drafting and negotiation of term sheets and definitive agreements, financing arrangements and negotiations with banks and investors, regulatory filings and the obtaining of required approvals, through to post-acquisition integration. Our goal is to provide strategic and operational expertise to ensure the successful completion of transactions, minimising risk and maximising value creation.

We have developed recognised expertise in corporate governance, implementing and monitoring robust frameworks, in particular through the strategic management of shareholders' agreements. Working closely with tax advisors and financial experts, we design bespoke mechanisms to align the interests of different shareholder categories and ensure optimal protection for executives.

We have particular expertise in advising family groups on the organisation, transfer and long-term preservation of their assets — clarifying roles, structuring decision-making and preventing conflicts, so as to ensure family harmony and the lasting success of their shared project.

We also provide ongoing legal support for the day-to-day management of companies and other entities, covering governance, corporate secretarial matters and the drafting of shareholders' agreements, in both regulated and unregulated sectors.

We are frequently involved in supporting the commercial development of our clients' activities. We advise companies on the drafting and negotiation of commercial partnerships, and represent clients in commercial disputes.

We design and implement strategies for the efficient handling and resolution of disputes in our clients' best interests, taking into account all dimensions of each matter — technical, financial, asset-related and reputational. In the disputes we handle, we appear before civil, arbitral, administrative and criminal courts, as well as pursuing alternative dispute resolution methods.

Our Firm offers a specialist conflict management service for companies, executives and families, aimed at preserving their interests and relationships. We act in the amicable resolution of disputes (commercial, family and shareholder disputes), national and international arbitration proceedings, court representation (civil, commercial and employment tribunals), and the defence of our clients' rights, as well as in dispute prevention.

We have also developed expertise in legal communications and the implementation of conflict resolution strategies to limit the impact on our clients' business activities or reputation.

Our Firm has built strong experience in handling individual and collective employment disputes. We provide day-to-day support to decision-makers and employees in resolving legal issues and tailoring responses to real-life situations: mandatory annual negotiations, crisis management and psychosocial risks, complex individual situations, collective agreements and individual employment relations.

To secure employment relationships both within companies and throughout professional careers, we assist executives and employees in their day-to-day decision-making — at the hiring stage (assistance and drafting of employment contracts), during the employment relationship (disciplinary matters for employees and protected representatives) and at the point of termination (dismissals, negotiated terminations, settlement agreements).

We also assist companies in managing collective employment status and employee representative bodies. In this capacity, we provide ongoing support on matters relating to working time arrangements, relations with the labour administration and the management of collective labour disputes.

We offer trust services (management trust, transfer trust and security trust) covering all types of assets (company shares, movable or immovable corporate assets), enabling our clients to organise and manage their assets and the financing of their projects.
